Acuvax Ltd Announces Share Purchase Plan

Adelaide, South Australia (September 21, 2009).

The Directors of Acuvax Limited (ASX: ACU) announce the commencement of a Share Purchase Plan (SPP). The SPP entitles all shareholders registered as at 5:00pm (WST) on Friday, 18 September 2009 with an Australian or New Zealand registered address to subscribe for additional fully paid ordinary shares in the Company, without brokerage or other transaction costs.

Money raised under this SPP will be used to invest further in immunology development and marketing and for general working capital.

Following is the offer letter relating to the SPP and a sample of the Share Purchase Plan Application Form which will be sent to shareholders of Acuvax Limited this week.

Acuvax shareholders who would like to participate in the SPP should read the offer letter carefully and complete as directed the application form which will be sent to them.

Applications must be received by no later than 5pm (WST) on 15 October 2009.

 

Acuvax Ltd Announces Capital Raising

Adelaide, South Australia (September 17, 2009) The Directors of Acuvax Limited (ASX: ACU) announce the placement of 24,400,000 ordinary shares to sophisticated investors. The placement was undertaken to raise $488,000.00, at a price of $0.02 per share. This is addition to the execution of a Terms Sheet between Terra Rossa Capital and Acuvax for up to $1.25 million in equity capital into Acuvax Immunology Services, the business development arm of Acuvax Limited.

According to Acuvax CEO, Dr William Ardrey “We are pleased at the support for this share placement, and proceeds will be used to invest further in immunology, as well as for general working capital.”

This placement also follows a number of positive announcements by the affiliated company Hawaii Biotech Inc. The Hawaiian vaccine affiliate recently commenced Phase I human clinical trials in the USA for a recombinant Dengue vaccine. Hawaii Biotech Inc also recently won a major US$2.9 million for applications of their proprietary recombinant DNA manufacturing platform to tick borne encephalitis.

The shares issued are part of a class of securities quoted on the ASX Limited. The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act. The shares are issued without disclosure to investors under Part 6D.2, in reliance on Section 708A(5) of the Corporations Act. The Company, as at the date of this notice, has complied with:
the provisions of Chapter 2M of the Corporations Act; and Section 674 of the Corporations Act.

There is no excluded information for the purposes of Sections 708A(7) and (8) of the Corporations

ACUVAX ADVANCES TECHNOLOGY COLLABORATIONS AND CAPITAL RAISING

The Directors of Acuvax Ltd (ASX: ACU) are pleased to announce progress on a number of commercial fronts. These are as follows:

On the Company’s further plans with respect to potential collaborations on business development and joint grant funding opportunities, Acuvax – through its recently formed

subsidiary Acuvax Immunology Services (“AIS”) – is in final discussions with Hawaii Biotech, which has a number of exciting recombinant, adjuvant and ancillary technologies in addition to lead candidate vaccines. Dr William Ardrey, Acuvax CEO and Hawaii Biotech Inc Director said, “We believe we can shortly finalise a formal agreement to cooperate to support and move forward a number of proprietary antigen and adjuvant technologies which have been developed in Hawaii, and which can be advanced further and revenue-licensed through cooperation with Acuvax and AIS”.

The marketing, sales, co-development and business development activities would be undertaken from South Australia.

On the Company’s further plans with respect to capital raising, the Company has entered into a term sheet via its subsidiary Acuvax Immunology Services today on terms for an equity capital injection of up to $1.25 million by Terra Rossa Capital, an Adelaide-based life sciences venture capital fund with significant immunology experience. The terms set certain milestones for business development, including funding the rollout of certain key technologies in cooperation with Hawaii Biotech Inc, with the goal of managing the Hawaii and other technology commercialisation activities through the South Australia based Acuvax Immunology Services.

“South Australia has core competencies in vaccine development, molecular biology and biotechnology commercialisation which makes it an ideal location for business development and commercialization activities to develop a leader in the global immunology market,” Dr Ardrey added.
